- where hospitality is a tradition and a name that
spells hospitality is India's most successful and
best-known hotel & restaurant chain.

The Group - Kamats had a humble and modest beginning.
A clear vision along with determination and hard work,
have gone a long way in helping the Group achieve
successful results and has laid the foundation of
the most successful Restaurant Chain in India, which
of course had gained a strong foothold in the hospitality
Industry. The brand equity "Kamats" has also gone
up substantially over the years. At present, the name
is synonymous with value for money. It believes in
the philosophy of best quality food and service at
the most affordable prices.

Chairman, Late Mr. Venkatesh Krishna Kamat who laid
the foundation of what was to later become one of
India's largest and most successful restaurant chain
started its business with a small restaurant at Mazgaon,
Mumbai which was soon followed by Krishna Bhawan in
Mumbai's busy Null Bazaar.

Later, his vision and foresight was in search of a
new pasture and thus 'Satkar' restaurant, a well known
city landmark and popular meeting place came into
existence. The Satkar restaurant flourished continuously
for two decades and became the flagship of the Kamat
Empire and the rendezvous for people from all walks
of life. The group then acquired two more restaurants
to its Empire --The 'Samrat' and 'Suvidha'.

After the remarkable success of Samrat and Suvidha,
three more new restaurants were added to the group
- Suruchi in New Marine Lines and Santoor and Kamat
Super Snacks at Cuffe-Parade.

Within a span of five years (1972-1976), a total of
six establishments including a partnership in the
well known Asiatic Department Store at Churchgate,
catering to the distinctly, different needs of general
office-goers and of up-market managerial executives
was created.
|
|
Success in such a big way and enterprising spirit
led to birth of yet another hotel- Kamat Plaza close
to Santacruz Domestic Airport. Recognizing the need
for a club to cater to the suburban middle class,
businessman and travelling executives. In September
1995, the Management of Kamats Plaza decided
to upgrade and reopen the property as a Five Star
Hotel. Accordingly 'THE ORCHID', which is Asia's
first Eco-Friendly Five Star Hotel was opened.

Go Bananas (Karaoke), a popular discotheque,
took Mumbai by storm and instantly became a runaway
success among Mumbai's suburban yuppies. Two years
later in 1992 at Goregaon (West) a second club was
opened and in 1995 a third one in Lokhandwala Complex
at Versova.

The Group realised the need for way-side Resorts and
Retreats, and in barely nine years (1986-94) five
of them were established at Vapi, Silvassa and Ankleshwar
in Gujarat at Khandala in Maharashtra and at the Union
Territory of Daman (located in Gujarat state), and
each has become a resounding success. From home Ground
the conquest proceeded to many alien lands, each one
taken in stride and the project spanning the globe
has set a trend that many an Entrepreneur would envy.
To capture the pulse of the ever-growing number of
Indians domiciled abroad-all with a keen appetite
for Indian, particularly for Udipi cuisine. The Kamat

Satkar Restaurant, opposite Churchgate Station
at Mumbai was the first Restaurant started in the year
1958 with 144 covers. The popularity of the Restaurant
and demand for vegetarian fast food resulted in increase
in covers to 204 as on date, which is the maximum possible
considering the constraints of space and laws prevailing
at the place. |
The success of Satkar Restaurant and increasing
demand for fast-food prompted the group to launch Samrat
Restaurant at Churchgate in 1972 with 260 covers,
which were increased to 385 in 1977. |
In the year 1974 the group added another
Restaurant at D.N.Road named 'Suvidha' which serves
South Indian dishes and seats 60 covers. In the same
year, Kamats ventured in Departmental Stores( Asiatic)
opposite Churchgate Station and properties. |
In 1977 Suruchi Restaurant at New Marine
Lines with 72 covers was started. |
In 1980 the group ventured in Non- vegetarian
eatery with Suruchi Bar and Restaurant in Mumbai with
80 covers. |
In 1983 one more Restaurant namely 'Status'
was started in Mumbai with 175 covers which was increased
to 198 covers in 1998. A banquet hall by the name 'SENATE'
was opened for conducting Press Meets, Anniversaries,
receptions, send offs, inaugurations, engagements, seminars
etc. |
In the same year i.e. 1983 Kamat Super
Snacks Restaurant was also started in Mumbai at Cuffe
Parade with 92 covers. This was first of its kind in
the Vegetarian fast food category. |
In 1984 - Santoor at Cuffe Parade with
122 covers was started. |
In 1986 the Company KAMAT HOTELS (INDIA)
LIMITED was incorporated on 21st March, 1986. |
1986 - Take over of the first residential hotel
in Vapi - Shalimar Hotel |
In 1986 the group purchased a Residential Hotel
at Khandala, a Hill Resort, between Mumbai & Poona.
In the same year, Kamat Super Snacks was also started
at Nana Chowk, Mumbai with 69 covers. |
In 1987 Waikiki Restaurant was taken over
with 176 covers at Mumbai on operational Contract basis.

In 1988 the group built a Three Star Hotel
with 32 rooms in first phase with provision for another
60 rooms at Silvassa, a Union Territory, about 160 kms
from Mumbai. |
In the same year another Restaurant named Santoor
with 68 covers was started at Nariman Point, Mumbai.

In 1990 - Plaza Hotel which was a four
star Hotel in operation with 81 rooms `situated near
Domestic Airport was purchased . The Hotel, was remodeled
and a Family Club with discotheque ' Go Bananas' was
started. |
In 1991 the group started Kamat Excelsior
Restaurant at Mumbai with 76 covers. |
In 1992, a Club at Goregaon with 1750 members
families and a club at Lokhandwala was started with
950 members families. In addition the group obtained
Harnai Fort & Murud Harnai Beach Resort a beautiful
picturesque sight for development of Resort Hotel at
location of 247 kms from Mumbai, the West Coast of the
Indian Peninsula. |
In 1993 Kamat Singapore Restaurant was
opened with 120 covers in Singapore. |
In 1994 - The Group went public for the
first time |
In 1995 - Inception of the Kamats Catering
Institute at Goregaon. |
Kamats Tours & Travels established in July
1995 |
In September, 1995 the Management of Kamats Plaza
decided to upgrade and reopen the property as a Five
Star Hotel. |
In July, 1996 Hotel Siddharth (Nasik) -
32 rooms - 3 star hotel with permit room & a turnover
of Rs. 76 lakhs in 2000/01, was taken over under a management
contract for 35 years. |
In September, 1997 - The Orchid, An Ecotel
Hotel, Asia's first Eco Friendly Five Star Hotel was
opened to Public on 27th September, 1997. |
In 1998, one more Restaurant was added
in Singapore with 60 covers named Gomantak. |
In 2001, the Company ventured, abroad by
opening two of its branches to begin with in San Francisco,
USA in the name of "Vital Kamat" on Management Contract
basis, further expansion is in the pipe line.

is now a large hospitality Group with interests in Luxury
Hotels, Budget Hotels & Restaurants, Family Leisure
& Sports Clubs, Travel Business, Catering & Educational
Institutions, Departmental Stores and of course Restaurants.

Kamat
Hotels (India) Limited was incorporated on 21st March, 1986
in the State of Maharashtra by Late Mr. Venkatesh Krishna
Kamat and his associates with the main object of setting
up and running of hotels and related business. The Company
obtained the Certificate of Commencement of Business on
31st March, 1986.

The
Flagship of the Company - KAMAT HOTELS (INDIA) LIMITED is
a Public Listed Company and the group flagship hotel of
the company viz., THE KAMAT PLAZA, a four star hotel near
the Santacruz Airport was taken by the Company - KAMAT HOTELS
(INDIA) LIMITED pursuant to the Management Contract with
Plaza Hotels Private Limited for a period of 30 years with
effect from 1st April, 1994.

In
the year 1994, the company achieved good results ; reasons
being the rising demand for suitable accommodation in the
City of Mumbai due to economic globalization and at the
same time a boom in the real estate market with acute shortage
of hotel rooms in the city of Mumbai.
|
|
Hence,
the then Management of the Kamat Plaza Hotel undertook to
expand the project immediately after its Public Issue during
the year. . Under their able guidance and after having done
a detailed market study/ survey along with a feasibility
report, decided to upgrade the Project to a Five Star Property
and hired the services of Mr. D. M. Upasni , an Architect
of repute and an International Designer - Lynn Wilson from
USA, ( who is ranked among the top 10 in the world ) to
design the hotel interiors, keeping in mind the needs of
a Business Traveler along with his luxury and comforts,
comparable to international standards.

Marketing
being an important aspect of the Hospitality Industry, positioning
of the property is an important aspect too. Unto us was
born a brand, unknown so far in the continent of Asia -
a green hotel - environmentally sensitive - right from brick
to paper and taking care of every little guest need at the
same time - In our efforts to position this brand, it was
proved that 87% of international travelers do patronize
green hotels. Thus awakened the need to tie up with an International
Firm- HVS ECO SERVICES of - HVS INTERNATIONAL, NEW YORK
who were hired to undertake - specific environmental programmes,
designed to lower operating costs and increase revenues
and evaluate the hotel's environmental performance in various
areas. Needless to say - THE ORCHID, as it is aptly
renamed, was awarded the prestigious 'ECOTEL' Certification'
by HVS ECO SERVICES, USA, which is the hall mark of environmentally
sensitive hotels. The Hotel thus becomes the first hotel
in Asia to obtain the coveted certification.

The
Orchid has employed a high powered team of professionals
from the Industry and it opened its doors to Public on World
Tourism Day - 27th September, 1997. It has been well received
both in the domestic and international market and enjoys
a near 82.7% occupancy in the year 2000-2001 having well
appointed rooms and suites with luxurious 5 star facilities.

Company's Board & Executives received valuable guidance
and advise from him because of his vast experience.

Mr.Vithal Venkatesh Kamat :
Mr.Vithal Kamat was Chairman & Managing
Director
of the Company has over 28 years experience as a Hotelier.
Apart from the 5 star hotel at Mumbai, he has a chain of
Restaurants, Holiday Resorts, Clubs, Departmental Store
and Catering Institute in and around Mumbai he renders consultancy
services for formation of restaurants not only in India
but also in other Countries such as Europe, USA, Japan &
Singapore.
The Late Mrs. Malati Shamrao Patil
Award was conferred on Mr. Vithal Kamat - The Doyen of Catering
Industry for his personal Contribution to the field of Hotel
Management.
THE BUSINESS MAN of The Year by
Jagtik Marathi Chamber of Commerce & Industry. The award
was presented to him by The Chief Minister of Maharashtra-Shri.
Vilasrao Deshmukh and the Union Cabinet Minister for Industries
Shri Pramod Mahajan was also present.

Mr. Konath Parameswaran Kannampilly:
Mr.
K.P.Kannampilly
was appointed as wholetime Technical Director of the Company
is a Post Graduate in Hotel Management & Catering Technology
and a Fellow of the Hotel Catering Institutional Management
Association of London, he also has a 26 years experience
in the Hotel & Catering Industry. He has expert technical
knowledge in Hospitality Industry and is well versed with
Restaurant, Marketing, Sales, Accommodation, Hotel Accounting
and Financial Management.
He is a promoter of the Concept Hospitality
Limited and is presently a Director in Kamat Hotels
(India) Limited (handling their 5 star Hotel project [ Rs.
178 crores ] at Mumbai and Hasina Resorts. In the past,
he has been involved with the Taj Group, Fariyas, Leela,
Rahejas, etc.

Ms. Padmashree Thangam Elizabeth Philip :
The Board of Directors appointed
her Director of the Company on 30th January 1999. Ms. Philip
is a Fellow Member of Hotel Catering & Institutional
Management Association, U.K. and also a Fellow Member of
Cookery & Food Association, U.K. She is a Member, Royal
Society of Health, U.K. Ms. Philip has many publications
to her credit viz., The
Thangam Philip Book of Baking Indian Cuisine, Cooking with
Substitutes & Imagination, High Protein foods, Protein
is Life, India Cook Book, Meals on Flight, Meals on Wheels
etc..
She is also a recipient of the 'Firestone
Award' by the Indian Association of Occupational Health.
She is one of the 38 distinguished women
of the world and one of the three women in India, who have
been invited to be portrayed on the F.A.O. 'CERES' Medal,
the others from India being Mrs. Indira Gandhi and Mother
Teresa. In 1976, she was awarded the 'PADMA SHREE' by the
Government of India, and was also conferred the Knighthood
of the Order of 'CORDON BLEU DU SAINT ESPRIT.'
At present, she is Principal Emeritus
- Institute of Hotel Management, Catering technology &
applied Nutrition, and Director on the Board of Companies
like Ras Resorts & and other Hotels, and is a Member,
Board of Governors, Indian Institute of Tourism & Travel
Management.

Mr. Ramesh Narayan Shanbhag :
Mr.
Shanbhag was appointed Director
of the Company on 30th January 1999 & on 29-09-2000
was appointed Whole-Time Director. He is a graduate of Commerce
and had been associated with the group for the past 25 years.
He is also a Director of Kamat Chain of Restaurants and
Hotels and Director of other Company.

Mr. S. S. Thakur:
Mr.
Thakur was appointed Director of the Company by the Board
of Directors on 28th July, 2003. Mr. S. S. Thakur has held
important positions in his long professional career in the
field of banking and foreign exchange. He was the controller
of Foreign Exchange, Reserve Bank of India, Chairman of
HDFC Bank for 7 years and Senior Adviser of United Nations
Development Programme (UNDP). He served the Reserve Bank
of India in different capacities for over 31 years. Mr.
Thakur joined the U. N. International Civil Service in January
1988 as Senior Adviser, UNDP and worked in Zambia as adviser
to the Governor, Bank of Zambia for 6 years.
Mr. Thakur has extensive experience of
central banking functions covering, among others, management
of foreign exchange, exchange rate and external debt, regulation
and monitoring of external trade financing, formulation
and conduct of monetary policy, foreign technical collaboration,
foreign equity investment, exchange market development and
supervision of foreign exchange operations of commercial
banks and other enterprises. One of his significant contributions
was in promoting the enactment of the Foreign Exchange Regulation
Act (FERA), 1973 and framing rules and policy guidelines
for administering various provisions of the Act, including
those relating to existing and new foreign investment and
business activities of multinationals in India.
As the Controller of Exchange, He also
associated with the formulation of policies for promoting
investment in India by Non-Resident Indians (NRIs) and overseas
corporate bodies (OCBs) predominantly owned by overseas
Indians.
In his capacity as the Senior UN Adviser
and Adviser to the Governor, Bank of Zambia, Mr. Thakur
played a key role in designing and implementing market-oriented
monetary, foreign exchange, banking, exchange rate, external
debt and trade liberalization policies and in bringing about
extensive reforms in these and other related areas as part
of Zambia's structural adjustment programme.
Mr. Thakur was the founder Chairman of
HDFC Bank for about 7 years (1994-2000) a private sector
commercial bank promoted by Housing Development Finance
Corporation.
As adviser for an ambitious project to
set up an International Financial Services Centre (IFSC)
in India. Mr. S. S. Thakur provides professional services
in all related maters including giving advice on formulation
of policies an operating guidelines and legislative changes
necessary for setting up an IFSC in government approved
SEZ. He is also a member of a co-coordinating committee
constituted by the Government of India- Ministry of Commerce.
This committee is responsible to provide inputs to the Govt.
appointed legal consultants for formulating the legal framework
to set up the IFSC and also drafting a consolidated legislation
to regulate and administer IFSC activities by a single Regulatory
Authority.
Mr. Thakur is on the Board of Directors
of several Companies. He is also a public nominee Director
on the Governing Board of Bombay Stock Exchange and has
been appointed as non-executive Chairman of Central Depository
Services (India) Ltd.

Mr. Vishal V. Kamat:
Mr.
Vishal V. Kamat was appointed as an additional Director
of the Company by the Board of Directors on 29th September,
2003. Shri Vishal V. Kamat holds a BSC Degree in Hotel Management
from the IHMCTAN, Mumbai and has requisite experience in
the Hotel Industry. He also a Director in other Companies
of the Kamat Group.

Mr V. P. Khurana:
Mr V. P. Khurana was appointed Small Shareholders
Nominee Director of the Company on 28th September,
2004, Mr. V. Khurana is a Science Graduate from Agra University
and a post graduate in philosophy from Delhi University,
has 32 years of experience in the areas of Banking and Finance.
Having started his career as a Probationary Officer with
State Bank of Hyderabad in 1972, Mr. V. P. Khurana has held
Senior positions with Indian as well as International Commercial
Banks covering diverse range of banking activities with
a proven track record. He has also extensively travelled
abroad.

Mr. Pravin N. Ghatalia:
Mr. Pravin N. Ghatalia was appointed as
an additional Director of the Company by the Board of Directors
on 23rd October, 2004. Mr Pravin N Ghatalia a
Chartered Accountant by profession since 1967 is Senior
Partner of Price Waterhouse, India and Chairman of Audit
& Business Advisory Services (ABAS) Management Committee.
His vast professional experiences and achievements consists
of the following:

on International Development Program and was actively
involved in the professional services
or various multinationals clients/banks.

Mrs. Rajyalakshmi Rao:
Mrs. Rajyalakshmi Raowas appointed as an
additional Director of the Company by the Board of Directors
on 22nd January, 2005. Mrs. Rajyalakshmi Rao
is B.Com., M.B.A. (Marketing) and M. S. (Advertising) from
University of IIIinois- Urbana Champaign U. S. A. and she
is also member of National Commission for Consumer Grievances
Redressal, India. She is also contributory to the cause
of Consumers at various places. In the field of Education
also she has been a member of various organisations and
has done commendable work.

Mr. Suhail Kannampilly:
Mr. Suhail Kannapilly was appointed as
an additional Director of the Company by the Board of Directors
on 22nd January, 2005. Mr. Suhail Kannampilly
has done Diploma in Hotel Management and Catering Technology
from Institute of Hotel Management, Mumbai. He has the requisite
experience in the Hotel Industry.

Code of Conduct for Directors and Senior Management pursuant to Clause 49 of the listing agreement
Kamat Hotels (India) Ltd's commitment to ethical and lawful business conduct is a fundamentally shared value of the Board of Directors, the senior management and all other employees of the Company.
Consistent with its Values and Beliefs, Kamat Hotels (India) Ltd has formulated the following Code of Conduct as a guide. The Code does not attempt to be comprehensive or cover all possible situations. It encourages the Kamat Hotels (India) Ltd team to take positive actions, which not only commensurate with the Values and Beliefs, but also perceive to be so. Kamat Hotels (India) Ltd expects all its employees to implement the Code in its true spirit and in case of any doubt or confusion, to consult his/her immediate superior, the head of HR or the Executive CMD as relevant.
For the purpose of this Code, the term "senior management" shall mean
- Executives who are in the grade of General Manager and above;
- All executives directly reporting to the Executive CMD and
- Company Secretary
In performing their functions, the directors and senior management of the Company shall:
Act honestly, diligently and in good faith and integrity in all their dealings with and for the Company.
Not use any confidential information obtained by them in the course of their official duty, whether from the Company or otherwise, for personal gain, or use/ allow the use of such information for the financial benefit for any other person.
Not engage in any business, relationship or activity, which might detrimentally conflict with the interest of the Company.
Maintain the principle of need to know and also confidentiality of all material non-public information about the Company, its business and affairs.
Abide by all applicable laws and regulations including the Company's Prevention of Insider Trading code.
Not use their status to seek or accept any personal gains or favours from those doing or seeking to do business with the Company or from other employees of the company.
As a general practice not to accept gifts in cash or kind if it is likely to lead to a business relationship with the Company. However, an exception to this may be made for non cash gifts upto a value not exceeding Rs. 5000/- for items that can be reciprocated such as tickets to events, etc. If refusing a gift beyond this would affect a relationship with the Company, the gift may be accepted and handed over to the Company.
Not share any information regarding the Company, its business and/or affairs with media without the prior approval of the Corporate Disclosure Officer.
In addition, in performing their Board and Board Committee functions, the directors shall:
- Not hold position of Advisor with a competitor Company
- Inform the Chairman of changes in their interests that may interfere with their ability to perform their duties, and in the case of "independent directors", impact their independence as Board members.
This Code embodies the belief that acting always with the company's legitimate interest in mind and being aware of the company's responsibility towards its stakeholders is an essential element of the company's long term excellence.

The day to day affairs of the hotel are
looked after by Mr. Vithal Kamat, Chairman & Managing
Director, and Mr. K.P.Kannampilly, Wholetime Technical Director
who are assisted by a team of professionals at various levels.
All the members of the Board have wide years of experience
and knowledge in the Hospitality Industry for the last 20
years. The other key people include the Company Secretary,
General Manager - Finance, Manager - Finance, Manager -
Income, Executive Director - Clubs and Resorts, Manager
- M.I.S.

The Capital Market
In the year 1994, The Company made its Initial Public Issue of Equity Shares aggregating to Rs.3060 lakhs and Non-Convertible Debentures (NCD's) aggregating to Rs.550 lakhs. The Equity Share of Rs.10/- was issued at a premium of Rs.50/-. The NCD of Rs.100/- had a coupon rate of 14%. The NCD Issue of the Company was rated "A-" by CRISIL. The above rating was retained by CRISIL till the NCDs were redeemed on 12-12-2001.
The above mentioned issue opened on 17th October, 1994 and closed on 21st October, 1994 was oversubscribed by 3.65 times. The Company shares are listed on stock exchanges at Mumbai, National Stock Exchange and at the Chennai. The Company has declared dividend for the last financial years as under:

Hotel and Restaurant Association, who thus nominated The Orchid
for the Green Globe Achievement Award 2000 - RECOGNITION
AWARD. On 15th March 2000, at a grand ceremony held during the ITB
, in Berlin, Mr. Bob Collier, Chairman of Green Globe presented
the prestigious GREEN GLOBE ACHIEVEMENT AWARD 2000- RECOGNITION
AWARD to Mr. Vithal Kamat, Chairman & Managing Director and
Mr. Param Kannampilly, Technical Director on behalf of The Orchid.

the Dr. M.S. Swaminathan Award for Environmental Protection. The
award instituted by the Rotary Club of Madras East and Earthcare
Group was presented to our Technical Director , Mr. K.P. Kannampilly
on 7th August 2000 , but none other than Dr. M.S. Swaminathan himself.
